SHIPR POLICY

Terms of Service

Version 1.8 · Effective September 25, 2026

The agreement between Shippers and Shipr for booking local deliveries through the Platform — acceptance, your Fleet and the Shipr Marketplace, prohibited shipments, pricing, refunds and disputes, liability limits, and your responsibilities as a business customer.

1. Acceptance of Terms

These Terms of Service (the "Terms") are a binding agreement between you and Shipr LLC ("Shipr," "we," "us," or "our") governing your access to and use of the Shipr platform, including our websites, our organization (business) portal, and related services (together, the "Platform").

By accessing or using the Platform, you ("Shipper," "Customer," or "you") agree to these Terms. If you are entering into these Terms on behalf of a business or other organization, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree to these Terms, do not access or use the Platform.

2. Nature of the Service

Shipr is a technology platform for arranging local deliveries. We provide the software that lets you create, book, and track deliveries and that offers them to drivers ("Drivers"); the Drivers, not Shipr, perform the transportation.

A delivery is covered in one of two ways, and who pays whom follows the way it is covered:

  • Fleet: your organization's own drivers, whom you invite to your Fleet and confirm in the portal. You engage and pay your Fleet drivers yourself, outside the Platform. Shipr does not charge you for a delivery your Fleet covers and does not pay the Fleet driver for it (see Sections 3 and 6).
  • Marketplace: independent Drivers who use the Platform to find delivery work. You pay Shipr for a delivery a Marketplace Driver covers, and Shipr pays that Driver under the Fees & Pricing policy.

Shipr is NOT a carrier, broker, freight forwarder, courier, or insurer, and we do not take possession, custody, or control of your goods at any point. Marketplace Drivers are independent contractors and are not employees or agents of Shipr. Fleet drivers are your drivers, not employees or agents of Shipr.

Any insurance offered under our Package Liability policy is a contractual coverage commitment from Shipr to you under that policy's terms — it does not make Shipr a carrier and does not create a carrier or bailment relationship.

3. Your Fleet

Where your organization uses a Fleet, these rules apply to it:

  • Your relationship. You record each Fleet driver as an employee or a contractor. That label is your own record of your relationship with the driver. You are responsible for classifying, paying, and supervising your Fleet drivers, for any taxes, insurance, and workers’ compensation the law requires for them, and for complying with the employment and contractor laws that apply to you.
  • Your attestation. A Fleet driver receives your Fleet deliveries only after you attest in the portal that your organization has checked them for your work. That attestation is your organization's statement, recorded with the member who made it. It is not a Shipr background check, identity check, or verification. Fleet drivers use a Shipr driver account, but Shipr does not vet them for your work on your behalf, and any checks on that account are not a substitute for your own.
  • No Shipr pay for Fleet work. You pay your Fleet drivers for Fleet deliveries yourself, outside the Platform. Shipr does not pay them for that work, does not take a fee from it, and does not accept tips for it.
  • Marketplace work by Fleet drivers. You decide whether your Fleet drivers may also take Marketplace deliveries from Shipr. A driver is shown your setting before joining your Fleet and can see it in the driver app while a member. Marketplace work a Fleet driver does is between that driver and Shipr, is paid by Shipr, and is not under your direction.
  • No lock-in. Joining your Fleet does not commit a driver to a minimum term. You can end a driver’s Fleet membership in the portal at any time, and a driver can ask to leave at any time.
  • What you see. While a driver is in your Fleet, the portal shows you their name, email address, phone number, whether they are online, and a summary of whether their Shipr account is ready to drive, together with the delivery details and live progress of the deliveries they carry for you. It does not show you their Marketplace earnings, ratings, or payout details. Use this information only to manage your own deliveries and your relationship with the driver.

4. Account Responsibilities

When you use the Platform, you agree to:

  • Provide accurate, complete, and current shipment details, including pickup and drop-off addresses, recipient information, package descriptions, declared value, and any special handling instructions;
  • Properly package, secure, and label every item so that it can be transported safely and lawfully;
  • Comply with all applicable laws, regulations, and third-party rights in connection with each shipment; and
  • Keep your account credentials confidential and accurate.

You are responsible for all activity that occurs under your account, including the actions of any authorized users you add. Notify us promptly of any unauthorized use of your account or any other breach of security.

5. Prohibited Shipments

You may not ship, or attempt to ship, any of the following through the Platform:

  • Hazardous materials, including any item regulated as hazardous under U.S. Department of Transportation (DOT) or Occupational Safety and Health Administration (OSHA) rules;
  • Firearms, weapons, ammunition, explosives, or their components;
  • Cash, currency, negotiable instruments, securities, or other bearer instruments;
  • Illegal goods, stolen property, or controlled substances; and
  • Perishable items without packaging approved for the conditions of transport.

At the time of booking, you must AFFIRMATIVELY ATTEST that the shipment contains no prohibited items. Submitting a booking constitutes that attestation for the shipment in question.

Shipr may refuse, hold, or cancel any shipment at any time, including where we reasonably believe it contains a prohibited item or otherwise violates these Terms or applicable law.

Shipping a prohibited item VOIDS all liability coverage for that shipment (including any coverage under the Package Liability policy) and may result in suspension or termination of your account, in addition to any other remedies available to us.

6. Pricing and Payment

The quoted delivery charge is CAPTURED AT ROUTE CREATION. Shipr does not charge for driver wait time. Any later adjustment is presented and processed as a separate charge or refund and appears separately in billing history. Driver earnings are not a customer escrow account and are released under Shipr’s payout-hold policy.

A delivery covered only by your own Fleet has no Shipr charge: its quote is $0 and nothing is captured. A delivery offered to your Fleet first and then to Marketplace Drivers is charged at route creation like a Marketplace delivery, and the charge is refunded in full if a member of your Fleet completes it.

You authorize us (and our payment processor) to charge your payment method for all amounts due under these Terms. If a charge is declined or a payment is not received, we may suspend your account and access to the Platform until the balance is resolved.

For details on how charges are calculated, vehicle rates, surge pricing, and related remedies, see the Fees & Pricing policy.

Marketplace deliveries are billed per delivery. Your use of your own Fleet is priced by a monthly Fleet plan; the plans, their prices, and their Fleet seats, Fleet miles, and locations are set out in the Fees & Pricing policy. Fleet plans are billed monthly at the prices in the Fees & Pricing policy, only after you choose a paid plan and consent at checkout. Pay as you go is free and never turns into a paid plan on its own. When your plan’s Fleet miles run out, you upgrade to a larger plan to keep dispatching to your Fleet; there is no per-mile overage charge. Enterprise is arranged by written agreement with Shipr.

Before charging for any paid recurring plan, we will clearly disclose the price, billing frequency, renewal and trial terms, how to cancel, and any material limits; obtain affirmative consent before charging; provide a straightforward cancellation method; and send notices or reminders where applicable law requires them.

7. Refunds, Cancellations, and Disputes

Refunds are made only as described in this Section and in Sections 7 and 8 of the Fees & Pricing policy. In summary:

  • You may cancel a delivery from your account until work on it starts (the Driver starts the route or completes a pickup). You are refunded the amount you paid, less a 3% cancellation fee. No cancellation fee applies to a delivery your own Fleet was covering, or to a delivery no Driver ever accepted.
  • If Shipr cancels a delivery, or a delivery cannot go ahead before pickup (for example, because no Driver accepts it before its assignment deadline), the full amount you paid is refunded automatically.
  • A delivery charged at route creation and then completed by a member of your Fleet is refunded in full (Section 6).
  • After pickup, a delivery cannot be cancelled from your account; contact support. If Shipr staff end a delivery after pickup, or the Driver ends it because of an emergency, the full amount you paid is refunded automatically. If a delivery is otherwise not completed after pickup, Shipr reviews what happened and decides any refund case by case.
  • There is no automatic or self-serve refund for a completed delivery. If something went wrong, open a dispute from that delivery’s page in the portal.

Shipr reviews each dispute case by case. Opening a dispute does not by itself entitle you to a refund; after review we may refund all, part, or none of the charge. You can follow the dispute’s status in the portal, and any refund appears in your billing history. Claims for lost or damaged goods follow the Package Liability policy.

Refunds are returned to the card or prepaid balance you paid with. We start a refund once it is decided; when it reaches your account depends on our payment processor and your card issuer or bank. We cannot refund more than you paid for the delivery.

Please contact us or open a dispute before disputing a charge with your card issuer or bank. If you do dispute a charge with them, their process decides the outcome, and we may provide delivery records in response.

8. Delivery Performance

Delivery times shown on the Platform are ESTIMATES ONLY and are not guarantees. Deliveries may be delayed by factors outside our reasonable control, including traffic, weather, road or building access, and operational conditions.

Shipr does not currently offer a delivery-time commitment or an automatic credit for a late delivery. You can raise a concern about a late delivery by opening a dispute (Section 7).

9. Limitation of Liability

Shipr's liability for loss of or damage to goods in connection with a delivery is capped at the LESSER OF (a) the declared value of the shipment or (b) the applicable coverage tier limit set out in the Package Liability policy.

The Package Liability policy covers deliveries carried by Marketplace Drivers. A delivery carried by your own Fleet driver is outside that policy, and Shipr is not responsible for loss of or damage to goods your Fleet carries.

To the fullest extent permitted by law, Shipr is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or business interruption, arising out of or relating to the Platform or any delivery, even if we have been advised of the possibility of such damages.

Coverage eligibility, exclusions, declared-value requirements, and the claims process are governed by the Package Liability policy.

10. Indemnification

You agree to indemnify, defend, and hold harmless Shipr and its officers, directors, employees, and agents from and against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your shipment of any illegal or prohibited item;
  • Improper, unsafe, or inadequate packaging, labeling, or description of a shipment;
  • Your violation of these Terms or of any applicable law or third-party right; and
  • Your breach of the booking-time attestation described in Section 5.

11. Suspension and Termination

Shipr may suspend or terminate your access to the Platform, in whole or in part, at any time — including for violations of these Terms, fraud, non-payment, or misuse of the Platform. We may also terminate or modify the Platform, or these Terms, as described in Section 13.

You may stop using the Platform at any time. Provisions that by their nature should survive termination — including those on prohibited shipments, payment of amounts owed, limitation of liability, and indemnification — will survive.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Indiana, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in the State of Indiana for any dispute arising out of or relating to these Terms or the Platform, except where applicable law provides otherwise.

Before filing any formal claim, you agree to first contact us at support@shiprsolutions.com so that we can attempt to resolve the matter informally.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, provide additional notice (for example, in the portal). Your continued use of the Platform after an update means you accept the revised Terms. If you do not agree to a change, you should stop using the Platform.
